1. Acceptance of these terms

These Website Terms of Use (“Terms”) govern your access to and use of www.veytiq.com and any related pages (the “Site”), operated by VeytIQ (“VeytIQ,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you are using the Site on behalf of a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Site.

These Terms cover the public website only. Any purchase or use of VeytIQ software or services is governed by a separate written agreement, which controls if it conflicts with these Terms.

2. Eligibility

The Site is intended for business professionals who are at least 18 years old. By using the Site, you represent that you meet this requirement.

3. Changes to the Site and these Terms

We may change, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms by posting a revised version with a new effective date. Your continued use of the Site after changes are posted means you accept the revised Terms.

4. Permitted use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal business purposes, including evaluating VeytIQ’s products and services.

5. Prohibited conduct

• Use the Site in violation of any law or regulation
• Copy, scrape, crawl, or harvest content or data from the Site by automated means, including to train machine learning or AI models, without our written permission
• Attempt to gain unauthorized access to the Site, its servers, or related systems, or probe, scan, or test their vulnerabilities
• Interfere with or disrupt the Site, including by introducing viruses, malware, or excessive load
• Submit false, misleading, or another person's information through Site forms
• Use the Site to send spam or unsolicited communications
• Reverse engineer, decompile, or copy any part of the Site, except as allowed by law
• Use the Site to build a competing product or service, or for competitive analysis
• Frame or mirror the Site, or remove or obscure any proprietary notices

6. Intellectual property

The Site and its content, including text, graphics, logos, software, designs, and the VeytIQ name and marks, are owned by VeytIQ or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license in Section 4, no rights are granted to you. You may not use our names, logos, or trademarks without our prior written consent.

7. Information you submit

Information you submit through the Site's forms is handled under our Privacy Policy. You represent that it is accurate and that you have the right to provide it.

If you send us ideas, suggestions, or feedback about our products or services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide right to use it for any purpose without obligation to you. Please do not send us confidential information through the Site; any confidentiality obligations apply only under a signed written agreement.

TO THE FULLEST EXTENT PERMITTED BY LAW, VEYTIQ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS COMPLETE OR CURRENT.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VEYTIQ AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless VeytIQ and its members, managers, officers, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

13. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute arising from or related to the Site or these Terms will be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to their personal jurisdiction. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW. Any claim must be brought within one (1) year after it arises, or it is permanently barred.

14. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 6 through 15 survive any termination.

15. General

These Terms and the Privacy Policy are the entire agreement between you and VeytIQ about the Site. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Headings are for convenience only.
